Please read these terms of Reframe (the “Terms”) carefully. If you have any questions, please contact the Customer Service Team. By placing an order for or by using our Products, you automatically agree to and are bound by these Terms. If you do not agree with the Terms, please discontinue the use of Reframe.
1. General
Reframe is a registered trademark and initiative by Ace and Tate Holding B.V. and any of its affiliates (together “Ace & Tate” or “we”). With Reframe, Ace & Tate aims to build a circular system and to take first steps in creating a future with minimal waste. Reframe consists of two parts:
returning used Ace & Tate eyewear to Ace & Tate by customers (see section 2 below); and
purchasing used or refurbished Ace & Tate eyewear (“Reframe Eyewear”) by customers (see section 3 below).
Customers are hereinafter referred to as a “customer” or “you”.
In addition to the terms of Reframe, the Terms and Conditions Ace & Tate E-Com B.V. (August 2018) apply.
In the event of a conflict between these Terms and the Terms and Conditions Ace & Tate E-Com B.V. (August 2018), these Terms shall prevail.
Ace & Tate reserves the right at all times, without giving any reason, to stop or amend the Terms or to change the Terms.
2. A) Returning used Ace & Tate eyewear to Ace & Tate by customers
When a customer returns used Ace & Tate eyewear to Ace & Tate, the following is applicable.
Customers can hand in Qualifying Eyewear (as defined below) at Ace & Tate Stores. In exchange for each piece of Qualifying Eyewear, the customer receives a Gift Code (as defined below).
Qualifying Eyewear is an original Ace & Tate frame or clip-on that is purchased and fit enough to reuse or refurbish, which is to be determined at the sole discretion of Ace & Tate. Ace & Tate can request the customer to show a proof of purchase (e.g. an invoice or order confirmation email) and Ace & Tate can decide that a frame is not Qualifying Eyewear. For example: a frame that is in very poor condition or heavily damaged is not Qualifying Eyewear.
The Gift Code is a unique code worth €10 (ten euros) (or in the currencies that Ace & Tate is currently trading in: ₤10 / SEK 100 / DKK 100) and can be used once by the customer on their next purchase in any Ace & Tate store or online at aceandtate.com. The Gift Code can only be used for Ace & Tate products. The Gift Code cannot be combined with other coupons, promotion codes and discounts. The expiration date of the Gift Code is communicated together with the unique code. When using the Gift Code, there is a €20 (twenty euros) (or an equivalent amount in the currencies that Ace & Tate is currently trading in) minimum order value required. The Gift Code is non-refundable and cannot be used to purchase another Ace & Tate gift card.
Once a customer hands in Qualifying Eyewear at Ace & Tate Store and the customer has received a Gift Code in exchange for this Qualifying Eyewear, the customer’s Qualifying Eyewear cannot be returned to them.
3. B) Purchasing Reframe Eyewear by customers
In case a customer purchases Reframe Eyewear, in a Reframe pop-up store, in an Ace & Tate store or online (via the website here), the following is applicable.
Product Availability
Reframe Eyewear may become unavailable to customers even after an order is placed.
Ace & Tate may discontinue the sale of Reframe Eyewear at any time without prior notice to customers.
The purchase price of Reframe Eyewear is subject to change without notice. The purchase price can be changed at any time before the customer has completed the order and before an agreement between Ace & Tate and the customer is concluded.
Quality Disclaimer
Reframe Eyewear was used before in any kind of way. Reuse and refurbishing adds value in different ways, which leads to completely unique eyewear.
All Reframe Eyewear orders are processed and inspected by Ace & Tate on quality and functionality. Reframe Eyewear has been cleaned and/or refurbished appropriately as far as reasonably practicable by Ace & Tate.
Reframe Eyewear may show signs of use. Therefore, we advise you to inspect Reframe Eyewear for defects upon purchase and inform us of any defects.
You hereby agree and acknowledge that you are aware of the fact that Reframe Eyewear could show the following quality specifications and these do not fall under the Warranty (as defined and further explained in section ‘Warranty and liability’ below) of the Reframe Eyewear:
Acetate eyewear:
hardening frame;
minor scratches on the frame model;
no inscriptions on the temple;
slight discolouration;
if not taking enough care, acetate breaking;
Metal eyewear:
rusty temple ends;
slight discolouration;
no inscriptions on the temple possible;
loose screws;
traces of glue on the rim;
Combination metal/acetate eyewear:
no inscriptions on the temple possible;
slight discolouration; and
traces of glue on the rim.
Orders
Once we have confirmed your payment method for your order and confirmed the order in writing (printed receipt), an agreement between Ace & Tate and you is concluded. Ace & Tate is not obliged to accept any orders.
By placing an order, you confirm that:
the data provided by you is complete and correct;
you are aged 16 or over, legally qualified to place place an order and are not registered blind or partially sighted; and
you will comply with all instructions provided by your optometrist and Ace & Tate.
By placing an order containing prescription eyewear, you confirm that:
you have a written prescription for your spectacles that has been given to you by a suitably qualified person in the last 24 (twenty-four) months (or 12 (twelve) months if you are aged 70 or over); and
upon request, you will supply accurate details of your current prescription (including any notes on the prescription).
You are responsible for the prescription if you order a Product on the basis of a prescription provided by a third party. Any costs/damages incurred as a result of an incorrect third party prescription or of incorrectly providing the details of the prescription to Ace & Tate are for your account. In such an event, the purchase price of your order will not be reimbursed.
Delivery
Reframe Eyewear is considered delivered when picked up by you in a Reframe pop-up store or when it is delivered at the address you provided to Ace & Tate online (via the website here).
We aim to deliver Reframe Eyewear within 8-10 working days after conclusion of the agreement as per clause 3.9. Delivery times are estimates and cannot be guaranteed.
Return Policy
Subject to section ‘Warranty and liability’ below, Reframe Eyewear purchased in a Reframe pop-up store or via Depop is not eligible for return to Ace & Tate. All sales are final (both regular and prescription glasses) and cannot be cancelled.
Customers that purchased Reframe Eyewear in a Reframe pop-up store, in an Ace & Tate store or via Depop are entitled to a one time (1) exchange of (one or both) of the prescription lenses only in the following cases:
the prescription is proven incorrect by the customer;
customer suffers from eye strain after wearing prescription lenses; and/or
inconsistencies during an eye test or production.
4. Jurisdiction
These Terms and all agreements concluded between Ace & Tate and you, and all disputes relating thereto are governed by the laws of the Netherlands without regard for conflict rules under Dutch private international law. The applicability of the United Nations Convention on the International Sale of Goods (Vienna Convention of 11 April 1980) is explicitly excluded.
If you are based in the EU (including the United Kingdom), any disputes arising out of or in connection with the Terms or our agreement(s) shall be submitted to the competent court of Amsterdam, the Netherlands. If a consumer wishes to bring the dispute before another competent Dutch court, it shall inform Ace & Tate thereof in writing within one (1) month after Ace & Tate having informed the consumer that it wishes to invoke this clause 4.2, in the absence of which notification from you the competent court of Amsterdam shall have exclusive jurisdiction.
If you are based outside the EU, any disputes arising out of or in connection with the Terms or our agreement(s) shall be referred to and finally determined by arbitration in accordance with the Arbitration Rules of the Netherlands Arbitration Institute (Nederlands Arbitrage Instituut). The arbitral tribunal shall consist of a sole arbitrator. The place of arbitration shall be Amsterdam, the Netherlands. The language to be used in the arbitral proceedings shall be English. The dispute, controversy or claim shall be decided in accordance with the laws of the Netherlands. Consolidation of the arbitral proceedings with other arbitral proceedings pending in the Netherlands, as provided for in Article 1046 of the Dutch Code of Civil Procedure, shall be excluded.This clause shall not limit the right of Ace & Tate to initiate proceedings against you in any other jurisdiction, nor shall it preclude Ace & Tate from applying for injunctive relief in summary proceedings before the competent court of Amsterdam, the Netherlands.
